Agreement to our legal terms
We are BIP Visualized Inc. ("Company," "we," "us," "our"), a company registered in Delaware, United States.
We operate the website https://www.bipvisualized.com (the "Site"), the application at https://app.bipvisualized.com (the "Application"), and related products and services that refer or link to these legal terms (the "Legal Terms") (together, the "Services").
You can contact us by phone at +1 310 200 4892, by email at support@bipvisualized.com, or by mail at 513 W Avenue 37, Los Angeles, CA 90065, United States.
These Legal Terms are a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and BIP Visualized Inc. about your access to and use of the Services. By accessing the Services, you confirm that you have read, understood and agreed to these Legal Terms. If you do not agree, you must not use the Services.
If your organization has signed a quote, order form or other written agreement with us, that agreement applies together with these Legal Terms. If they conflict, the signed agreement wins.
We may update these Legal Terms. We will give notice of material changes by posting them in the Services or by email from support@bipvisualized.com. Changes take effect on the date stated in the notice. By continuing to use the Services after that date, you agree to the updated terms.
Accounts are for adults. You must be at least 18 years old to create an account. This age rule applies to account holders only. It does not limit adult users from entering information about the students and clients they support (see Section 10).
We recommend that you print a copy of these Legal Terms for your records.

1. Our Services
BIP Visualized lets users create and share visual Behavior Intervention Plans (BIPs), and gives access to visual strategies, resources, courses and trainings. The Services are offered as a free account and as paid plans billed monthly, annually or under a team or enterprise agreement. What each plan includes is described at https://www.bipvisualized.com/pricing or in your quote.
Content you create in the Services (such as the content of a visual BIP and its "Behavior Overview" sections) may be shared only with people involved in the student's or client's support, including: students and clients, parents and guardians, educators and special education teachers, behavior analysts (BCBAs) and ABA therapists, school administrators, paraprofessionals and support staff, healthcare providers, speech and language pathologists, occupational and physical therapists, school psychologists and counselors, and insurance providers.
Our visual strategies, resources and courses are provided to support you in developing and sharing your BIPs and in training and coaching the people you work with.
2. Use of Client Name and Logo
Client grants BIP Visualized permission to use Client's name and logo solely for limited marketing purposes, such as identifying Client as a customer on BIP Visualized's public website or in company presentations. No other use is permitted without prior written approval. Client may withdraw this permission at any time by providing written notice, and BIP Visualized will remove the name and logo from future materials within a reasonable time.
3. Intellectual Property Rights
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, illustrations, strategies, resources, courses, informational and visual design, and graphics in the Services (the "Content"), as well as the trademarks, service marks and logos contained in them (the "Marks").
Our Content and Marks are protected by copyright and trademark laws and other intellectual property and unfair competition laws in the United States and around the world.
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print Content you have properly accessed, solely for your internal professional or business purposes and for the people you support, as described in Section 1.
No part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, translated, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose without our express prior written permission.
4. Your Content
"Your Content" means the BIPs, text, images, files and other material you or your team create or upload in the Services (also called "Contributions" in these Legal Terms).
- You (or your organization) own Your Content.
- You give us a limited license to host, store, process, display and transmit Your Content only as needed to provide, secure and support the Services for you.
- We do not use Your Content to train AI models, and we do not use it for advertising.
- You are responsible for Your Content and confirm you have the right to use and share it.
5. User Representations and Registration
By using the Services, you represent and warrant that: (1) all registration information you submit is true, accurate, current and complete; (2) you will keep it up to date; (3) you have the legal capacity to agree to these Legal Terms; (4) you are at least 18 years old; (5) you will not access the Services through automated or non-human means, such as a bot or script; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate or incomplete, we may suspend or terminate your account.
You must keep your password confidential and are responsible for all use of your account. Accounts are for one person and may not be shared.
Account security. We use two-factor authentication (2FA). By default, when you sign in from a new browser or device, we send a one-time code to your email address. If you add a phone number, you can also receive codes by text message. We use essential authentication and session cookies on the Site and the Application to keep sessions secure and recognize trusted devices.
Advertising. Our public pages (the Site and the Application's public pages, such as sign-up and sign-in) use advertising technologies from Meta and Google Ads to measure our ads. These never run on the pages inside your account, and nothing you do there is used for advertising.
6. Purchases and Payment
Self-serve plans are paid by Visa, Mastercard, American Express, Discover or PayPal, through our payment processor.
Team and enterprise plans may also be paid by invoice, including by purchase order, ACH or bank transfer, or check, as stated on the quote or invoice. Invoices are due within thirty (30) days unless the invoice says otherwise.
You agree to provide current, complete and accurate billing information and to keep it up to date. All prices are in US dollars. Sales tax will be added where required. We may correct errors in pricing, even after an order is placed, and we may refuse any order.
You authorize us to charge your chosen payment method for all amounts due at the prices in effect for your purchase.
Price changes. We may change our prices. New prices apply to new purchases. For an existing subscription, a new price applies only from your next renewal, and we will give you advance notice so you can cancel before it takes effect.
7. Subscriptions, Renewals and Cancellation
Renewal. Paid plans renew automatically at the end of each billing period (monthly or annual) until canceled. You authorize us to charge your payment method for each renewal without asking for approval each time.
Cancellation. You can cancel at any time in your account settings, or by emailing support@bipvisualized.com. Cancellation takes effect at the end of the current paid period, and you keep access until then. After that, your account moves to the free plan.
Failed payments. If a payment fails, we will retry it and notify you. If all retries fail, your subscription will be canceled and your account will move to the free plan.
Free plan. The free plan is free with limited features and no expiration. We may change what the free plan includes.
Team and enterprise subscriptions renew and end as stated in the quote or written agreement (see Section 9).
8. Refunds
- Monthly plans: no refunds for partial months. When you cancel, you keep access until the end of the month you paid for.
- Annual plans: if you request a refund within fourteen (14) days after an annual charge (a new purchase or a renewal), we will refund that charge in full and move your account to the free plan. After fourteen (14) days, annual charges are non-refundable.
- Team and enterprise plans: fees are non-refundable once the contract term has started, unless your quote or written agreement says otherwise. Seat reductions take effect at the next renewal.
- Courses and trainings bought separately: non-refundable once a certificate has been issued.
- Billing mistakes: duplicate charges and charges made in error are always refunded.
To request a refund, email support@bipvisualized.com. Where the law gives you more rights, those rights apply.
9. Team and Enterprise Accounts
- Agreement. Team and enterprise plans are bought by an organization ("Customer") through a quote or written agreement. That document sets the number of seats, price, term and anything specific to the Customer.
- Administrators. The Customer appoints one or more administrators. Administrators can invite and remove team members, assign and reassign seats, and choose who else is an administrator. Team members must accept the invitation and create an account.
- Seats. The number of active members cannot exceed the number of seats purchased. Seats can be reassigned at any time. Added seats are charged on a prorated basis.
- One team per account. An account (email address) can belong to only one team at a time.
- Team content. Content created by team members for the Customer belongs to the Customer, and administrators can see team membership and activity. When a member leaves a team, content that was shared with the team stays with the team.
- Included content. Some content, such as the BCBA Supervision Curriculum or the 40-hour RBT training, is included only with certain plans or seat counts, as described on our pricing page or in the quote. Where sharing of a course with others (for example, RBTs) is limited to a number of shares per contract year, a share once given counts toward that limit and is not removed at renewal or when seats change.
- Renewal. Team and enterprise subscriptions renew for the same term unless either party gives notice before the renewal date, as stated in the quote or agreement.
10. Student and Client Information
Our Services are built for professionals who support students and clients. Students and clients do not log in.
- Entering information about students and clients is a permitted use of the Services, including when they are minors. The 18+ rule in these Legal Terms applies only to account holders.
- We do not ask for names or other identifying details of students or clients. We strongly recommend using initials or client codes.
- If you enter identifying details, we store them encrypted and protect them as sensitive health information, as described in our Privacy Policy.
- You are responsible for having the authority to enter and share this information, including any consent required under the laws and policies that apply to you (such as FERPA, HIPAA or your organization's rules).
- For team and enterprise accounts, student and client information is kept or deleted as the Customer instructs.
11. AI Features
The Services include optional AI-assisted features, such as image generation, a resource guide, and tools that help draft or reword plan content.
- AI features run only when you choose to use them.
- Do not enter identifying student or client information into AI features. The Application highlights likely personal details and warns you before you submit, but you are responsible for what you enter.
- AI output may be inaccurate, incomplete or unsuitable. You must review all AI output before using or sharing it. AI output is a suggestion only and is covered by Section 14: clinical decisions remain yours.
- You may not use AI features to create content that is unlawful, harmful, or that infringes others' rights.
- We do not use your content to train AI models.
12. Courses, Trainings and Certificates
- Access. Access to courses depends on your plan, your team's agreement, or a share from another user. Access ends if your plan or share ends.
- Completion. Some courses require you to complete each lesson, and any quizzes or assessments, before a certificate is issued.
- Certificates. A course completion certificate confirms that you completed our course. It is not a certification, license or credential. For example, completing our 40-hour RBT training does not make you a Registered Behavior Technician. You are responsible for meeting all other requirements of the Behavior Analyst Certification Board (BACB) or any other credentialing body, such as competency assessments, supervision and exams.
- CE and PDU credits. Continuing education credits are offered as described in each course and in Section 31.
- Personal use. Course logins and certificates are personal and may not be shared.
13. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from us.
- Trick, defraud or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

- Use any information obtained from the Services to harass, abuse or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to the Services.

- Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots or similar data gathering and extraction tools.
- Delete the copyright or other proprietary rights notice from any Content.
- Attempt to impersonate another user or person or use the username of another user.

- Use, launch, develop or distribute any automated system, such as a spider, robot, scraper or offline reader, that accesses the Services, except as the result of standard search engine or browser usage.
- Use a buying agent or purchasing agent to make purchases on the Services.
- Collect usernames or email addresses of users to send unsolicited email, or create user accounts by automated means or under false pretenses.
- Use the Services as part of any effort to compete with us or otherwise use the Services or the Content for any revenue-generating endeavor or commercial enterprise not approved by us.
- Share your account, or sell or otherwise transfer your profile.
14. Limitation of Liability and Responsibility for BIPs
By using BIP Visualized, you acknowledge and agree to the following regarding the creation and implementation of visual Behavior Intervention Plans (BIPs):
User responsibility. Any content, including visual BIPs, created within our Services represents the sole clinical judgment and recommendations of the user. BIP Visualized provides tools and features, including AI-assisted features, to help develop these plans, but all final decisions, modifications and implementations are the responsibility of the user.
Guidance and recommendations. Features that suggest behavior strategies, resources or wording, or that provide strategy descriptions, are guides only. They are not prescriptive and should be tailored to the needs of each student or client, using your professional expertise and judgment.
Professional ethics. You are responsible for selecting, modifying and implementing strategies and recommendations that align with your professional ethics code (for example, the BACB Ethics Code) and with applicable standards and best practices.
Limitation of liability. BIP Visualized is not liable for any harm, injury or adverse outcomes resulting from the use of visual BIPs or other content created using our Services. You assume full responsibility for the development and execution of any intervention plans, including their consequences.
You agree to hold BIP Visualized harmless from any claims or damages arising from the creation and use of visual BIPs.
15. HIPAA and Business Associate Agreements
Our safeguards. BIP Visualized is built with privacy and security in mind. We apply administrative, physical and technical safeguards modeled on the HIPAA Security Rule, maintain a designated HIPAA Compliance Officer, and work with service providers under agreements that protect your data, including Business Associate Agreements where health information may be involved. Our Privacy Policy describes these safeguards.
Business Associate Agreement. If you are a covered entity or business associate under HIPAA and need a Business Associate Agreement (BAA) with us, contact support@bipvisualized.com. When a BAA is signed, it governs how we handle protected health information for you, and it wins over these Legal Terms if they conflict.
Your responsibilities. You are responsible for the information you enter and share in the Services and for using the Services in line with HIPAA, FERPA and other laws, your organization's policies and your professional ethics code. Best practices include:
- Using client codes: use initials, client codes or other de-identification instead of names.
- Limiting sharing: share only with people who are authorized and have a need to know.
- Treating visual BIPs as health care documents: handle every visual BIP with the same confidentiality and care as other health or education records.
- Protecting your account: keep your login details private and remove access for people who no longer need it.
16. Services Management
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including reporting such user to law enforcement; (3) refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of Your Content or any portion of it, in our sole discretion; (4) remove from the Services or otherwise disable files and content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
17. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy at https://www.bipvisualized.com/privacy. By using the Services, you agree to our Privacy Policy, which is part of these Legal Terms. The Services are hosted primarily in the United States, and some of our service providers process data in other countries, as described in the Privacy Policy.
18. Copyright Infringements
We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes a copyright you own or control, please notify us using the contact information below (a "Notification"). A copy of your Notification may be sent to the person who posted or stored the material. Under applicable law you may be liable for damages if you make material misrepresentations in a Notification, so if you are not sure that material infringes your copyright, consider first contacting an attorney.
19. Term and Termination
These Legal Terms remain in full force and effect while you use the Services. Without limiting any other provision of these Legal Terms, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services (including blocking certain IP addresses) to any person for any reason or no reason, including for breach of any representation, warranty or covenant in these Legal Terms or of any applicable law or regulation. We may terminate your use of the Services or delete your account and any content or information that you posted at any time, without warning, in our sole discretion. For team and enterprise Customers, termination is also subject to the quote or written agreement.
If we terminate or suspend your account, you may not register a new account under your name, a fake or borrowed name, or the name of any third party. We may also take appropriate legal action, including civil, criminal and injunctive redress.
20. Modifications and Interruptions
We may change, modify or remove the contents of the Services at any time for any reason without notice. We have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, suspension or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software or other problems, or need to perform maintenance, resulting in interruptions, delays or errors. You agree that we have no liability for any loss, damage or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance. Nothing in these Legal Terms obligates us to maintain and support the Services or to supply corrections, updates or releases.
21. Governing Law
These Legal Terms and your use of the Services are governed by the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles.
22. Dispute Resolution
Informal negotiations. To expedite resolution and control the cost of any dispute, controversy or claim related to these Legal Terms (each a "Dispute"), brought by either you or us (each a "Party"), the Parties agree to first attempt to negotiate any Dispute (except those expressly excluded below) informally for at least thirty (30) days before starting arbitration. Informal negotiations start on written notice from one Party to the other.
Binding arbitration. If the Parties cannot resolve a Dispute through informal negotiations, the Dispute (except those expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both available at the AAA website. Your arbitration fees and your share of arbitrator compensation are governed and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the AAA rules or applicable law, the arbitration will take place in Delaware, USA. The Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate or enter judgment on the award.
If for any reason a Dispute proceeds in court rather than arbitration, it shall be brought in the state and federal courts located in Delaware, USA, and the Parties consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Legal Terms.
Restrictions. Any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions. The following Disputes are not subject to the informal negotiation and binding arbitration provisions above: (a) any Dispute seeking to enforce or protect, or concerning the validity of, any intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, neither Party will elect to arbitrate any Dispute falling within the part found illegal or unenforceable, and that Dispute shall be decided by a court of competent jurisdiction within the courts listed above.
If you are a public entity (such as a school district) and the law that applies to you does not permit these governing law or dispute provisions, the provisions required by that law apply instead, to the extent required.
23. Corrections
The Services may contain typographical errors, inaccuracies or omissions, including in descriptions, pricing and availability. We may correct any errors, inaccuracies or omissions and change or update information at any time, without prior notice.
24. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE OF THEM, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, INCLUDING AI OUTPUT, OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES, AND WE ASSUME NO LIABILITY FOR ANY (1) ERRORS, MISTAKES OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND ANY INFORMATION STORED THEREIN, (4) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) BUGS, VIRUSES, TROJAN HORSES OR THE LIKE TRANSMITTED THROUGH THE SERVICES BY ANY THIRD PARTY, OR (6) ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY LINKED WEBSITE.
25. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE LEGAL TERMS, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD BEFORE THE CAUSE OF ACTION AROSE. SOME US STATE AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
26. Indemnification
You agree to defend, indemnify and hold us harmless, including our subsidiaries, affiliates and all of our officers, agents, partners and employees, from and against any loss, damage, liability, claim or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) Your Content; (2) your use of the Services; (3) your breach of these Legal Terms; (4) any breach of your representations and warranties in these Legal Terms; (5) your violation of the rights of a third party, including intellectual property rights; or (6) any harmful act toward any other user of the Services with whom you connected through the Services. We may, at your expense, assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense. We will use reasonable efforts to notify you of any such claim, action or proceeding when we become aware of it.
27. User Data
We maintain data you transmit to the Services to manage the performance of the Services, as well as data relating to your use of the Services. Although we perform regular backups, you are responsible for all data you transmit or that relates to any activity you have undertaken using the Services. To the extent permitted by law, we have no liability to you for any loss or corruption of such data.
28. Electronic Communications, Transactions and Signatures
Visiting the Services, sending us emails and completing online forms are electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically, by email and on the Services, satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders and other records, and to electronic delivery of notices, policies and records of transactions initiated or completed by us or through the Services.
29. California Users and Residents
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.
30. Miscellaneous
These Legal Terms, any quote or written agreement with your organization, and any policies or operating rules posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms is not a waiver of that right or provision. We may assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is found unlawful, void or unenforceable, that provision is severable and does not affect the validity and enforceability of the remaining provisions. No joint venture, partnership, employment or agency relationship is created between you and us by these Legal Terms or your use of the Services. These Legal Terms will not be construed against us because we drafted them.
